INVITATION TO PARTICIPATE IN A TWO-STAGE TENDER FOR AN EPC CONTRACT (TURN-KEY FORMAT) FOR THE DESIGN, SUPPLY, CONSTRUCTION, TESTING AND COMMISSIONING OF THE “TOGOLOK” DEPOSIT MILL FACILITIES AND TAILINGS STORAGE FACILITY

The “Kumtor Operating Company” CJSC (the Customer) invites you (the Tenderers) to participate in a tender with limited participation of suppliers for the implementation of an EPC contract (turn-key format) for the design, supply, construction, testing and commissioning of the “Togolok” deposit Mill facilities and Tailings Storage Facility

Proposals with attached documents, annexes must be signed by the person(s) who have (and) all the authority to sign, sealed, and submitted in PDF format.

The authority of a person to sign documents must be confirmed by a power of attorney or certified copies of documents confirming his/her authority.

Procedure for Submission of Bids

Potential tenderers of the bids wishing to participate in the bids must provide pre-qualification documents in accordance with the Instructions, questionnaire and Appendixes 6 and 8 in accordance with the order of the SASPM (the State Agency for State Property Management under the Cabinet of Ministers of the Kyrgyz Republic), as well as attach the required copies of documents in accordance with the instructions.

Required documents:

For residents of the Kyrgyz Republic:

• Letter confirming interest in participation;
• Detailed information about the company: necessary permits, licenses of the design organization for construction design and construction and qualification certificates, diplomas of specialists involved in the provision of services (the specified documents must be submitted in scanned form). In the absence of a license for certain types of work, the involved contractor (under a consortium agreement) must have:
• A license of the required level:
• Certified specialists:
• Practical experience in design and construction, supply and installation of technological equipment for mining facilities:
• Reference list of participation in completed projects of mining facilities under the EPC contract principle (attach copies of supporting documents for the work performed)” over the past 10 years;
• Information on the availability of a resource base (designers in areas with at least 3 years of experience, builders, installers, power engineers, programmers, economists and other specialists, office equipment, necessary software, etc.).
• Recommendations, customer reviews.
• A scanned copy of the certificate of registration of a legal entity or an electronic certificate (certificate) from the website of the Ministry of Justice of the Kyrgyz Republic;
• A scanned copy of the document defining the main type of activity (Charter), as well as a scanned copy of the decision on appointment as a manager;
• Scanned copies of the original financial statements for 2022–2023–2024:
• Balance sheet;
• Profit and loss statement;
• Cash flow statement;
• Statement of capital movements;
• Unified Tax Declaration.
• Certificate of absence of arrears in tax payments and insurance premiums to government agencies as of the last reporting date.
• Information on participation in court and arbitration proceedings of the Participant (the last three years, including the current one).
• Written confirmation of absence of affiliation, as well as information on their beneficial owners. Information on beneficial owners is open and accessible information on the public procurement web portal.

For non-residents (tenderers of other countries):

• Letter confirming interest in participation;
• Detailed information about the company: necessary permits, licenses of the design organization for construction design and construction and qualification certificates, diplomas of specialists involved in the provision of services (the specified documents must be submitted in duly certified scanned copies);
• The required level of responsibility can be ensured by involving a local Company that has the necessary permits, licenses of the design organization for construction design and construction and qualification certificates, diplomas of specialists involved in the provision of services (the specified documents must be submitted in scanned form). In the absence of a license for certain types of work, the involved contracting organization (under the consortium agreement) must have:
• A license of the required level;
• Certified specialists:
• Practical experience in design and construction, supply and installation of process equipment for mining facilities:
• Reference list of participation in completed projects of mining facilities under the EPC contract principle (attach copies of supporting documents for the work performed)” over the past 10 years;
• Information on the availability of a resource base (designers in areas with at least 3 years of experience, builders, installers, power engineers, programmers, economists and other specialists, office equipment, necessary software, etc.).

• Scanned copies of registration and constituent documents from authorized bodies;
• Scanned copies of the original financial statements for 2022-2023-2024.
• Scanned copies of qualification documents.
• A certificate or other document confirming the absence of arrears in tax payments and insurance premiums to government agencies of the host country. the latest reporting date.
• Information on the Participant’s participation in court and arbitration proceedings (the last three years, including the current one).
• Written confirmation of the absence of affiliation, as well as information on their beneficial owners. Information on beneficial owners is open and accessible information on the public procurement web portal.

All documents must be submitted in Russian, if the Proposal is accompanied by documents in other languages, then such documents must be translated into the language of the procurement documentation (Russian), and the translator’s signature must be notarized.

The Tenderer shall also submit any other documents that the Tenderer will be required to complete or prepare as required by the Customer. These documents can be requested both during the competition and after it as part of the work with the winner of the pre-qualification selection.

The Customer shall have the right to accept or reject any proposal, as well as to cancel the tender process and reject all proposals at any time prior to the award of the Contract, without incurring any obligations to the relevant participants.

Evaluation criteria: the winning proposal will be recognized as the proposal that meets the qualification requirements.

By submitting the Proposal, the Tenderer thereby agrees to all the conditions specified in the requirements of the company.

Each Tenderer may submit only one bid.

It is not allowed to make changes to the tender bids after the expiration of the deadline for their submission.

The pre-qualification tender bid shall be valid for 60 (sixty) working days from the date of opening the package of documents.

A non-disclosure agreement (NDA) will be signed with the winners of the first stage of the competition and the Terms of Reference and other accompanying documents will be provided to participate in the second stage of the competition.

By submitting a tender application, the Tenderer confirms and guarantees his legal capacity, the availability of registration in accordance with the established legislative procedure, as well as the availability of the necessary permits to carry out activities. The person who signed this tender bid guarantees that he has all the necessary powers to sign it.
